Terms of Service

1. Acceptance of Terms

By accessing or using Wozena (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms apply to all users, including visitors, trial users, and paying customers. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate, current, and complete information during registration. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Service Description

Wozena provides an AI-powered voice agent platform that enables businesses to:

  • Build and deploy AI voice agents through a co-pilot builder and visual flow editor
  • Manage inbound and outbound phone calls
  • Run outbound calling campaigns
  • Manage contacts with tagging, disposition tracking, and custom fields
  • Analyze call performance with AI-powered post-call analysis
  • Integrate with third-party calendar and CRM services
  • Set up automation rules triggered by call and contact events

4. Billing and Payment

4.1 Subscription Plans

Wozena offers subscription-based plans. The current plans and pricing are displayed on our website and during the checkout process. All prices are in US dollars and exclude applicable taxes.

4.2 Trial Period

New users receive a 3-day free trial of the Pro plan. During the trial, you may use the platform within trial limits. A payment method is required to make calls, start campaigns, or purchase phone numbers. Trial users receive 3 minutes of free test calls.

4.3 Pay-As-You-Go Usage

In addition to your subscription fee, you are billed for voice call usage on a pay-as-you-go basis. Call costs are calculated per minute based on the underlying platform costs plus a service margin. Usage is invoiced weekly. Phone numbers are billed at $2 per number per month.

4.4 Payment Processing

Payments are processed through a third-party payment processor. By subscribing, you authorize us to charge your payment method for recurring subscription fees and any applicable usage charges.

4.5 Failed Payments

If a payment fails, we will provide a 7-day grace period during which you can update your payment method. If payment is not resolved within the grace period, your account may be suspended. Accounts suspended for more than 14 days may be cancelled.

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time from your account settings or by contacting support. Upon cancellation, your account remains active until the end of your current billing period. After that, your access to paid features will be restricted.

5.2 No Refunds

Subscriptions are non-refundable. You will not receive a refund for any unused portion of your current billing period. Usage charges that have already been invoiced are not refundable.

5.3 Data After Cancellation

After cancellation, your data (contacts, call history, agents, campaigns) is retained for 90 days to allow reactivation. After 90 days, all data is permanently deleted. Billing records are retained for 7 years for tax and legal compliance.

6. Outbound Calling Compliance

This section is critical. By using the outbound calling features, you agree to the following:

6.1 Prior Consent Required

You are solely responsible for obtaining all necessary consents before placing outbound calls to any contact. This includes compliance with the Telephone Consumer Protection Act (TCPA), General Data Protection Regulation (GDPR), and all other applicable federal, state, local, and international laws. Wozena does not verify whether you have obtained proper consent and is not liable for any violations.

6.2 Do Not Call (DNC) Compliance

You must honor all Do Not Call requests. When a contact requests not to be called, you must promptly add them to your DNC list. The platform provides DNC management tools, but you are ultimately responsible for maintaining an accurate and up-to-date DNC list. You must also comply with the National Do Not Call Registry and any applicable state DNC registries.

6.3 Calling Hours

You must comply with all applicable calling hour restrictions. In the United States, the TCPA generally prohibits telemarketing calls before 8:00 AM or after 9:00 PM in the called party's local time zone. You are responsible for ensuring your campaigns comply with these and any additional state-specific time restrictions.

6.4 No Robocalling or Spam

You may not use the Service to place illegal robocalls, send unsolicited commercial messages, harass or threaten any person, or conduct any activity that violates the TCPA, CAN-SPAM Act, or equivalent international regulations. Violations will result in immediate account termination without refund.

6.5 Caller ID and Disclosure

You must ensure that your outbound calls display an accurate caller ID and that your AI agent identifies itself as an automated system when required by law. You may not spoof caller ID or misrepresent the nature of the call.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Place calls to contacts who have not provided consent to be contacted
  • Transmit spam, robocalls, or unsolicited communications
  • Harass, threaten, or abuse any person through the platform
  • Upload false, misleading, or fraudulent contact data
  • Attempt to gain unauthorized access to other users' accounts, data, or systems
  • Interfere with, disrupt, or overload the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell, sublicense, or redistribute the Service without written authorization
  • Use the Service to develop a competing product or service

We reserve the right to investigate and take appropriate action against anyone who violates this section, including removing content, suspending accounts, and reporting violations to law enforcement.

8. Data Ownership

You retain full ownership of your data, including contact lists, agent configurations, conversation flows, call recordings, and any content you create or upload to the Service. We do not claim ownership of your data.

By using the Service, you grant us a limited license to process, store, and transmit your data solely for the purpose of providing and improving the Service. This license terminates when you delete your data or close your account.

9. Intellectual Property

The Service, including its software, design, branding, documentation, and all related intellectual property, is owned by Wozena and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our written permission.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may temporarily suspend the Service for maintenance, updates, or emergency repairs. We will make reasonable efforts to provide advance notice of planned maintenance.

11. Limitation of Liability

To the maximum extent permitted by law, Wozena shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

Our total cumulative liability to you for all claims arising from or related to the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

We are not liable for any damages arising from your violation of applicable calling regulations, including but not limited to TCPA violations, DNC violations, or any fines or penalties imposed by regulatory authorities.

12. Indemnification

You agree to indemnify, defend, and hold harmless Wozena, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation, including telecommunications regulations.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to violation of these Terms, non-payment, fraudulent activity, or use of the Service for illegal purposes. Upon termination, your right to use the Service ceases immediately.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “last updated” date. For significant changes, we may also notify you by email. Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the updated Terms, you must stop using the Service.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation, and if necessary, binding arbitration in accordance with applicable arbitration rules.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
